Background

Llangollen Enterprise was established in March 2005. It was formed as a result of a merger of the former Llangollen & District Chamber of Trade and the former Llangollen Tourism Association. Both organisations were involved in marketing and promoting Llangollen and it seemed sensible to merge both organisations to maximise the limited resources available.

CONSTITUTION

1. NAME

The name of the organisation is the ‘Llangollen Enterprise’

2. AIMS & OBJECTIVES

2.1 Develop areas for self-generation of income and secure resources to market and promote Llangollen as having a clear and distinct image, which will distinguish it from other places and embrace its special characteristics.

2.2 To ensure effective communication and dissemination of information to the membership.

2.3 Create a reputation for 'quality' and 'value for money' and promote 'best practice' through the improvement of retail, catering, accommodation, attractions, events and activities.

2.4 Develop and promote Llangollen as an all year round quality destination to encourage corporate events and conferences.

2.5 To foster a spirit of unity, friendship & inclusion for the benefit of the Llangollen community.

2.6 To proactively seek mutually beneficial partnerships.


3. MEMBERSHIP

3.1 Membership of Llangollen Enterprise shall be open to all individuals, companies and businesses interested or actively engaged in business in Llangollen and the surrounding rural area, upon being duly approved by a majority of those present at a general meeting of the Llangollen Enterprise or at an Executive Committee meeting.

3.2 The Executive Committee may by a unanimous vote and for good reason, terminate the membership of any individual or business, provided that the individual or business shall have the right to appeal within fourteen days of being informed and such appeal shall be heard by the Executive Committee. The appellant may elect a friend or colleague to representative him/her at that appeal.

3.3 Any member whose actions or conduct is likely to injure or discredit the Association may be expelled from the Llangollen Enterprise by a resolution passed by two thirds of the members present at a general meeting of the Enterprise at which at least seven days notice of submission of the resolution has been given.

3.4 The Executive Committee shall have the power to affiliate, cooperate with or to invite representative membership of any Institute, Society or Association or other body having similar aims and objectives to the Association.

3.5 Members who are accommodation providers (hotels, guesthouses, bed & breakfast establishments, camping and caravan parks) must be WTB graded in order to appear on the website. Any subsequent loss of grading will result in removal from the website but will not affect membership of the Enterprise.

4. SUBSCRIPTIONS

 4.1 Every member shall pay an annual subscription of such amount as shall from time to time be approved at the Annual General meeting. The annual subscription shall be due on 1 st January each year and will permit basic level entry to the website.

4.2 Members who have not renewed their subscriptions by end of February, after having received a formal written reminder, will have their membership, all rights of membership, including website information if applicable, cancelled.


5. MEETINGS

5.1 An Annual General Meeting of the Llangollen Enterprise will take place in January each year.

5.2 Ordinary meetings of the Llangollen Enterprise will take place bi-monthly in March, May, July, September and November each Year. In the event of an item of urgent business arising, which in the opinion of the Chair and Executive Committee, requires the attention of the whole membership, then an extraordinary meeting will be called by giving at least seven days notice.


6. OFFICERS

6.1 The Officers of the Llangollen Enterprise shall be a Chairperson, Vice Chair, Treasurer, Secretary, and immediate past Chair.

6.2 The Executive Committee shall consist of the officers of the Llangollen Enterprise as detailed above together with three other members making a total of eight and these eight officers of the Executive Committee shall be elected annually at the Annual General Meeting.

6.3 In the event of a vacancy arising during the year it shall, if considered necessary, be filled by the Executive Committee.

6.4 The Executive Committee shall have the power to deal with any business of the Llangollen Enterprise, not otherwise provided for in this constitution, and shall take such action and incur such expenditure as it considers necessary for the furtherance of the aims and objectives of the Association and/or in the interests of the members.

6.5 The Executive Committee shall meet as occasion demands and the attendance of members at the Executive Committee shall be duly recorded by the Secretary and reported to the Annual General Meeting.


7. QUORUM

Nine members, including Officers, shall form a quorum for a General Meeting. Five Officers shall form a Quorum for an Executive Committee meeting.


8. ACCOUNTS  

8.1 The Treasurer shall keep an account of all income and expenditure for and on behalf of the Llangollen Enterprise, together with a record of member’s subscriptions and shall pay all accounts approved by the Executive Committee.

8.2 The Executive Committee is authorized to operate Banking Accounts in the name of Llangollen Enterprise, and all cheques shall be signed by any two of the following officers :- Chair, Vice Chair, Treasurer and Secretary.

8.3 The financial year shall end on 31 st December each year and the Treasurer shall present a report to the Annual General Meeting on an audited statement of accounts for the year just ended.

8.4 The Executive Committee shall determine the duties of the Secretary and shall decide on the salary or remuneration payable thereof or for any other person exercising such duties or other appropriate duties.


9. VOTING

One representative from each business, who are members, is eligible to vote.


10. AMENDMENTS TO THE CONSTITUTION

10.1 Amendments to this Constitution can only be made by a resolution duly passed by two thirds of the members present at a general meeting of the Llangollen Enterprise. Seven days notice of any proposed amendment will be provided to all members.

 
11. DISSOLUTION

If the Executive Committee decides that it is necessary or advisable to dissolve the Association, it shall call a meeting of all the members of the Association, of which not less than 21 days notice (stating the terms of the resolution to be proposed) shall be given. If the proposal is confirmed by a two thirds majority of those present and voting the Executive Committee shall have the power to realize any assets held by or on behalf of the Association. Any assets remaining, after the satisfaction of any proper debts and liabilities, shall be given to any other institution having similar aims and objectives as members of the association may determine. Or failing that the remaining assets shall be transferred to the Town Council to be applied for the benefit of the community. A copy of the statement of accounts for the final accounting period of the Association must be sent to all members.
